What You May Do
- Download and store digital products for your personal or business use
- Modify and customize templates and materials to fit your brand identity
- Use finished marketing materials created with our templates in your commercial communications
- Use content calendars and strategy kits within your organization or for clients if you are an agency or freelancer, subject to the limitations below
What You May Not Do
- Resell, redistribute, sublicense, or otherwise transfer any purchased digital products in their original or minimally modified form to any third party
- Share purchased files, downloads, or access credentials with unauthorized third parties
- Claim ownership or authorship of original Marketontra creative works
- Upload purchased products to file-sharing platforms, template repositories, or any public distribution channels
- Use purchased materials in any way that violates applicable laws or infringes on the rights of others
6. Prohibited Uses
You agree that you will not use the Platform or any purchased products for any unlawful, harmful, abusive, fraudulent, deceptive, or otherwise prohibited purpose. Specifically, you agree not to:
- Use the Platform to engage in any activity that violates federal, state, local, or international law or regulation
- Attempt to gain unauthorized access to any portion of the Platform, its servers, or any systems connected to it
- Engage in any form of data scraping, harvesting, or automated data collection from the Platform without express written permission
- Transmit any viruses, malicious code, or any technology that may harm Marketontra, the Platform, or any users thereof
- Use purchased products or marketing materials to promote hate speech, discriminatory content, illegal products or services, or content that violates the rights of others
- Impersonate Marketontra or any of its employees, agents, or representatives
- Engage in any conduct that could damage the reputation or goodwill of Marketontra
- Circumvent any access controls, copy protection mechanisms, or digital rights management systems
7. Intellectual Property Rights
All content on the Marketontra Platform, including but not limited to text, graphics, logos, icons, images, audio clips, data compilations, and software, is the property of Marketontra or its content suppliers and is protected by applicable intellectual property laws, including United States copyright law and international treaties.
The Marketontra name, logo, and all related product and service names, design marks, and slogans are trademarks or service marks of Marketontra. You are not permitted to use any of these marks without the prior written consent of Marketontra. All other trademarks, product names, and company names or logos mentioned on the Platform are the property of their respective owners.
Nothing in these Terms shall be construed as transferring any ownership or intellectual property rights in the Platform, its content, or our products to you. The limited license granted in Section 5 is the full extent of your rights concerning our intellectual property.
8. Payments and Billing
All purchases made through the Marketontra Platform are processed securely through our designated payment processing partners. By completing a purchase, you represent that you are authorized to use the payment method provided and that the billing information you supply is accurate and complete.
All prices displayed on the Platform are in US Dollars unless otherwise indicated. Prices are subject to change at any time without prior notice. Applicable taxes may be added at checkout depending on your location and the applicable tax regulations.
In the event of a payment dispute, chargeback, or fraudulent transaction, Marketontra reserves the right to immediately terminate your access to purchased products and take appropriate legal action to recover amounts owed.
9. Disclaimer of Warranties
THE PLATFORM AND ALL PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. MARKETONTRA EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that the products will meet your specific requirements or achieve any particular results. No oral or written information or advice given by Marketontra or its representatives shall create a warranty.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MARKETONTRA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM OR ANY PRODUCTS.
In no event shall Marketontra's total aggregate liability to you exceed the amount actually paid by you to Marketontra in the twelve (12) months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages, so some of the above limitations may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless Marketontra, its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform or products, including but not limited to any use of the Platform's content, products, or services other than as expressly authorized in these Terms.
12. Changes to These Terms
Marketontra reserves the right to revise and update these Terms of Service at any time at our sole discretion. All changes are effective immediately upon posting on the Platform. Your continued use of the Platform following the posting of revised Terms constitutes your acceptance of those changes.

13. Governing Law and Dispute Resolution
These Terms and any disputes arising out of or related to them or the Platform shall be governed by and construed in accordance with the laws of the State of Kentucky, United States, without giving effect to any choice of law or conflict of law provisions.
Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Jefferson County, Kentucky, and you hereby consent to personal jurisdiction and venue in such courts. You and Marketontra agree that any cause of action arising out of or related to the Platform or these Terms must commence within one (1) year after the cause of action accrues; otherwise, such cause of action is permanently barred.
Before initiating formal legal proceedings, you agree to first contact Marketontra and provide written notice of your dispute. We will attempt in good faith to resolve the dispute through informal negotiation within thirty (30) days of receiving such notice.
